Terms of Service

1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and NeoForge Labs Limited, a private limited company registered in the Republic of Kenya (“NeoForge Labs,” “Autobillr,” “we,” “us,” or “our”), governing your access to and use of the Autobillr platform, including the web application at autobillr.dev, mobile-responsive interfaces, APIs, SDKs, and all related services (collectively, the “Service”).

By creating an account, accessing the Service, or clicking “I Agree” or similar acceptance mechanism, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” will refer to that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

“Account” means the account you create to access and use the Service.

“API” means the Autobillr Application Programming Interface that enables programmatic access to the Service.

“Chase Automation” means the automated communication sequences (email, SMS, WhatsApp) that the Service sends to your clients on your behalf to follow up on outstanding invoices.

“Client” means any third party to whom you issue invoices through the Service or whose contact information you upload to the Service.

“Client Portal” means the interface through which your Clients can view invoices, make payments, and interact with communications sent via the Service.

“Contract Intelligence” means the AI-powered feature that parses, analyzes, and extracts billing-relevant terms from contracts you upload to the Service.

“Content” means any data, text, files, documents, contracts, invoices, images, or other materials that you upload, submit, or transmit through the Service.

“Free Tier” means the subscription tier that provides limited access to the Service at no charge.

“Intelligence Features” means the AI-powered capabilities of the Service, including but not limited to Contract Intelligence, Cash Flow Prediction, Client Profiling, Invoice Validation, and Chase Message Generation.

“Payment Gateway” means a third-party payment processing service (such as Stripe, Flutterwave, or Paystack) that you connect to the Service to facilitate invoice payments.

“Pro Tier” and “Ultimate Tier” mean the paid subscription tiers described in Section 7.

“SDK” means the Autobillr Software Development Kit available for TypeScript and Python.

“Subscription” means the recurring billing arrangement under which you access paid features of the Service.

3. Eligibility

To use the Service, you must: (a) be at least 18 years of age or the age of legal majority in your jurisdiction; (b) have the legal capacity and authority to enter into these Terms; (c) not be prohibited from using the Service under applicable law; and (d) provide accurate, current, and complete registration information.

The Service is designed for use by businesses, freelancers, consultants, and agencies. If you are a consumer using the Service for purely personal, non-commercial purposes, certain consumer protection laws in your jurisdiction may grant you additional rights that are not limited by these Terms.

4. Account Registration and Security

4.1 Account Creation

You must create an Account to use the Service. You agree to provide truthful, accurate, and complete information during registration, and to keep that information updated. You must provide a valid email address, which will serve as your primary means of communication with us.

4.2 Account Security

You are responsible for maintaining the confidentiality of your Account credentials, including your password and any API keys. You are responsible for all activities that occur under your Account. You agree to: (a) notify us immediately of any unauthorized access to or use of your Account; (b) not share your Account credentials with any third party; and (c) use strong, unique passwords and enable two-factor authentication when available.

4.3 Account Restrictions

You may not: (a) create multiple Accounts for the same individual or entity without our prior written consent; (b) use another person's Account without authorization; (c) sell, transfer, or assign your Account to any third party; or (d) use automated means (bots, scrapers) to create Accounts.

5. Description of the Service

5.1 Core Functionality

Autobillr provides a cash flow intelligence platform that includes: (a) invoice creation, customization, and delivery; (b) payment tracking through connected Payment Gateways; (c) automated chase sequences for outstanding invoices; (d) AI-powered contract parsing and term extraction; (e) cash flow prediction and forecasting; (f) client behavioral profiling based on payment history; (g) invoice validation against contract terms; (h) multi-channel communication (email, SMS, WhatsApp) for payment follow-ups; and (i) analytics and reporting.

5.2 Intelligence Features — Important Limitations

The Intelligence Features use artificial intelligence and machine learning to analyze your data and generate insights, predictions, and recommendations. You acknowledge and agree that:

(a) AI outputs are not guaranteed to be accurate. Contract parsing, cash flow predictions, client risk assessments, and other AI-generated outputs are probabilistic in nature and may contain errors. You are solely responsible for reviewing and verifying all AI-generated outputs before relying on them.

(b) Contract Intelligence is not legal advice. The Contract Intelligence feature extracts billing-relevant terms from contracts but does not constitute legal analysis, legal advice, or a legal interpretation of your contracts. You should consult a qualified legal professional for legal matters.

(c) Cash flow predictions are estimates. Predictions about when payments will arrive are based on historical data and statistical models. Actual payment timing may differ materially from predictions.

(d) Chase messages are generated suggestions. While the Service generates chase messages tailored to each situation, you are responsible for reviewing messages before they are sent (when manual review is enabled) and for the content of all communications sent to your Clients on your behalf.

5.3 Chase Automation — Your Responsibilities

By enabling Chase Automation, you authorize the Service to send communications to your Clients on your behalf via email, SMS, and/or WhatsApp, as configured by you. You acknowledge and agree that:

  • You are solely responsible for the accuracy of Client contact information you provide to the Service.
  • You are responsible for ensuring that Chase Automation is enabled only for invoices that are legitimately outstanding and owed to you.
  • You may disable Chase Automation at any time for any invoice or Client.
  • Chase communications sent by the Service are sent on your behalf and using your business identity. You, not Autobillr, are the sender for all legal and regulatory purposes.
  • You are responsible for complying with all applicable laws regarding commercial communications in the jurisdictions where your Clients are located.
  • The Service is not a debt collection service. Chase Automation is designed for business-to-business and business-to-consumer invoice follow-up communications.

5.4 Payment Gateway Integration

The Service integrates with third-party Payment Gateways (Stripe, Flutterwave, Paystack, and others) to facilitate invoice payments. Your use of any Payment Gateway is governed by that gateway's own terms of service and privacy policy. Autobillr does not process, store, or have access to your Clients' full payment card details.

5.5 SMS and WhatsApp Communications

The Service sends SMS messages through Africa's Talking (for African markets) and Twilio (for global markets), and WhatsApp messages through the Twilio WhatsApp Business API. You acknowledge that SMS and WhatsApp delivery is subject to mobile carrier availability, network conditions, and the recipient's device status, and message delivery is not guaranteed.

6. Your Content

6.1 Ownership

You retain all ownership rights in and to your Content. Autobillr does not claim ownership of any Content you upload or submit through the Service, including your invoices, contracts, client information, payment records, and business data.

6.2 License Grant

By uploading or submitting Content to the Service, you grant NeoForge Labs a worldwide, non-exclusive, royalty-free, sublicensable (only to our service providers and subprocessors as necessary to provide the Service) license to use, reproduce, store, process, and display your Content solely for the purposes of providing the Service, generating Intelligence Features outputs, sending communications on your behalf, complying with legal obligations, and creating anonymized, aggregated datasets. This license terminates when you delete your Content or when your Account is terminated.

6.3 Anonymized and Aggregated Data

You agree that we may create anonymized, de-identified, and aggregated data derived from your use of the Service. Aggregated Data will not identify you, your business, or your Clients. We may use Aggregated Data for any lawful purpose, including improving the Service and generating industry benchmarks. Our right to use Aggregated Data survives termination of your Account.

6.4 Content Restrictions

You agree not to upload, submit, or transmit any Content that: (a) you do not have the right to share; (b) contains malicious code; (c) is fraudulent or deceptive; (d) violates any applicable law; or (e) contains sensitive personal data beyond what is reasonably necessary for invoicing purposes.

6.5 Data Portability and Backup

You may export your data at any time through the Service's data export functionality or via the API. Exported data will be provided in standard machine-readable formats (CSV, JSON). You are solely responsible for maintaining your own backups of your Content.

7. Subscription Tiers, Pricing, and Payment

7.1 Subscription Tiers

  • Free Tier: Limited features at no charge. May be modified or discontinued at any time.
  • Pro Tier: $29 per month (or local currency equivalent). Enhanced features.
  • Ultimate Tier: $79 per month (or local currency equivalent). All features.
  • API/SDK Access: Available on Pro and Ultimate tiers.

Detailed feature comparisons and current pricing are available at autobillr.dev/pricing. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

7.2 Billing and Payment

Paid subscriptions are billed monthly in advance. All fees are quoted exclusive of applicable taxes. You authorize us to charge your designated payment method for all applicable fees.

7.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your Account settings.

7.4 Refund Policy

We do not provide refunds for partial billing periods. If you cancel, you retain access until the end of your current billing period. For full details, see our Refund & Cancellation Policy.

8. Acceptable Use

You may use the Service only for lawful business purposes consistent with these Terms. For full details, see our Acceptable Use Policy.

9. Intellectual Property

9.1 Autobillr's Intellectual Property

The Service, including all software, algorithms, models, interfaces, designs, documentation, trademarks, logos, and other materials created by or on behalf of NeoForge Labs, is the exclusive property of NeoForge Labs and is protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in Autobillr's IP except for the limited right to access and use the Service.

9.2 Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Service, you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback without obligation or compensation.

9.3 API and SDK License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our API and SDK solely to integrate the Service with your own applications. You may not use the API or SDK to build a competing product.

10. Third-Party Services

The Service integrates with third-party services including Payment Gateways (Stripe, Flutterwave, Paystack), email delivery (Resend), SMS providers (Africa's Talking, Twilio), WhatsApp (Twilio), and AI model providers (through OpenRouter). Your use of these third-party services is subject to their respective terms and policies. We do not control, endorse, or assume responsibility for any third-party services.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and processing of your personal data is governed by our Privacy Policy. We process personal data in compliance with the Kenya Data Protection Act, 2019, the EU GDPR, the CCPA, and other applicable data protection laws.

12. Disclaimers of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure; that AI-generated outputs will be accurate, complete, or reliable; that Chase Automation will result in payment collection; or that communications will be delivered. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by applicable law, NeoForge Labs shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. Our total aggregate liability shall not exceed the greater of: (a) the total amount you paid to us in the twelve (12) months preceding the event; or (b) one hundred US dollars (US$100).

14. Indemnification

You agree to indemnify, defend, and hold harmless NeoForge Labs, its directors, officers, employees, agents, and affiliates from and against any claims arising out of your use of the Service, your Content, your violation of these Terms, communications sent to your Clients through the Service, or your infringement of any third party's rights.

15. Term and Termination

You may terminate your Account at any time through Account settings or by contacting legal@autobillr.dev. We may suspend or terminate your Account at any time. Upon termination, your right to access the Service ceases immediately, pending Chase Automation sequences will be stopped, and you will have 30 days to export your data.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles.

16.2 Informal Resolution

Before initiating formal dispute resolution, you agree to first attempt to resolve any dispute informally by contacting us at legal@autobillr.dev. We will attempt to resolve the dispute within 30 days.

16.3 Arbitration

Any dispute that cannot be resolved informally shall be finally settled by arbitration administered by the Nairobi Centre for International Arbitration (NCIA) in Nairobi, Kenya. The language of the arbitration shall be English. The arbitral award shall be final and binding.

17. General Provisions

We may modify these Terms at any time with notice. These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and Data Processing Agreement (if applicable), constitute the entire agreement between you and NeoForge Labs with respect to the Service.
